wedd.ai

Terms of Use

Last updated: 16 October 2026

These terms of use ("Terms") are a binding legal contract between you and Mrge IT Private Limited (operating as "wedd.ai"), a private limited company incorporated under the Companies Act, 2013, having its registered office at 30-15-166/2, 2nd Floor, Hirawat Complex, Dabagardens, Visakhapatnam (Urban), Visakhapatnam-530020, Andhra Pradesh, India (CIN: U63119AP2026PTC126756) ("Company", "we", "us" or "our"). They govern your access to and use of the wedd.ai website, web and mobile applications, WhatsApp-based features and related software provided as a service, together with any materials we make available through them (the "Platform").

Related documents: Privacy Policy and Data Processing Addendum. Please read these Terms carefully. They include a limitation of our liability (Section 14), an indemnity from you (Section 15) and an arbitration clause (Section 19) that does not affect your rights as a consumer.

1. Definitions and the Service

1.1 Definitions

  • "you" or "Customer" means the individual or entity that creates an account on, or purchases a plan for, the Platform. Where you accept these Terms on behalf of an entity, "you" includes that entity.
  • "Business Customer" means a Customer that uses the Platform for a business or professional purpose, including a wedding planner, agency or event company.
  • "Guest Data" means personal data of your guests, family members, vendors or any other individual that you upload to, or collect through, the Platform, including names, phone numbers, RSVP responses, identity documents, travel and accommodation details, photographs and the contents of documents you upload.
  • "Your Content" means all content you or your collaborators upload, create or send through the Platform, including Guest Data, documents, messages, photographs and videos.
  • "AI Output" means any summary, answer, extracted detail, draft message or other content generated by the artificial intelligence features of the Platform.
  • "Agreement" has the meaning given in Section 20.1.

1.2 The Service

wedd.ai is a software-as-a-service platform that helps couples, their families and professional wedding planners organise weddings. Depending on your plan, features may include:

  • guest list management;
  • RSVP, identity-document and travel-detail forms sent to guests, including over WhatsApp;
  • WhatsApp broadcasts and reminders;
  • to-do, timeline and budget tracking;
  • upload and AI-assisted analysis of vendor contracts;
  • an AI assistant that answers questions about your wedding data;
  • photo and media galleries; and
  • collaboration with family members and planners.

The features available to you depend on your plan as shown on the Platform or at checkout. We may add, change or remove features from time to time. Any change to features does not automatically entitle you to a refund (see Section 5.3).

1.3 What We Are Not

We provide software tools only. We are not a wedding planner, travel agent, hotel, vendor, marketplace or payment intermediary for vendor services, and we are not a party to any arrangement between you and your guests or vendors.

2. Acceptance and Eligibility

2.1 Electronic Record

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it. They are generated by a computer system and do not require a physical or digital signature. They are published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

2.2 Acceptance

You accept these Terms by clicking "I agree" (or a similar button or checkbox), by creating an account, by purchasing a plan, or by otherwise accessing or using the Platform. If you do not agree, do not use the Platform. Visitors who only browse the website are bound by the provisions of these Terms that apply to their use.

2.3 Eligibility

You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872 to create an account or purchase a plan. By creating an account you confirm that you meet these requirements.

2.4 Entities

If you accept these Terms on behalf of a company, partnership or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

3. Changes to These Terms

We may update these Terms from time to time. The current version is always available at https://www.wedd.ai/terms-of-use. For material changes, we will notify you by email to your registered address or in the Platform at least 30 days before they take effect, unless a shorter period is required by law or is needed to address a security risk. If you do not agree to a change, you may cancel before it takes effect. Cancelling for this reason does not automatically entitle you to a refund (see Section 5.3). Your continued use of the Platform after the effective date means you accept the change. A change does not apply to a dispute that was notified to the other party before the change took effect. Previous versions of these Terms are available on request.

4. Accounts, Collaborators and Security

4.1 Account Creation

To use most features you must create an account by providing accurate, current and complete information, and you must keep it up to date. You are responsible for all activity under your account.

4.2 Collaborators

The account owner may invite collaborators, such as family members or planner staff. The account owner is responsible for granting and revoking their access and for their actions on the account. Wedding planners who manage weddings for clients must have their clients' authority to do so.

4.3 Security

You must keep your login credentials confidential, must not share them, and should use any security features we make available. You must tell us at admin@wedd.ai promptly, and in any event within 24 hours, after becoming aware of any unauthorised access to your account. To the extent permitted by law, we are not liable for loss caused by your failure to keep your credentials secure.

4.4 Inactive Accounts

We may close a free account that has been inactive for an extended period, after giving at least 30 days' notice to your registered email address.

5. Plans, Fees, Payments and Refunds

5.1 Plans

The plans available to you, and the features, price, billing period and any usage limits of each, are those shown on the Platform or at checkout before you pay.

5.2 Free Trials

If we offer a free trial, its length, features and what happens at the end of it will be shown before you start. We will not charge you at the end of a trial unless you have expressly authorised that charge. If a trial converts to a paid plan, you will be told before the trial ends and can cancel before then without charge.

5.3 Fees, Refunds and Appeals

Fees are charged in advance for each billing period or plan term shown on the Platform or at checkout. Fees are not refunded automatically, including on cancellation, downgrade, non-use, account closure, suspension or termination, changes to features, prices or these Terms, outages, a postponed or cancelled wedding, or discontinuation of the Platform or a plan. Any refund, partial refund or credit is subject to an appeal by you and approval by us, as set out below.

Requesting a refund. To request a refund, email the wedd.ai team at admin@wedd.ai from your registered email address with the subject "Refund appeal", including the transaction reference, date, amount and the reason for your request.

Review and approval. We review each appeal case by case and decide, at our discretion, whether to approve it in full, in part or not at all. Approving one appeal does not create a precedent or entitlement for any other request. If we approve a refund, it is paid to the original payment method, usually within 7 working days of our decision, plus the time your bank takes to credit it.

Payment errors. If you were charged more than once for the same purchase, or money was debited but the payment failed, the amount is reversed through our payment aggregator and your bank within the timelines set by the Reserve Bank of India. These reversals do not need an appeal.

WhatsApp messaging charges already passed on to Meta for messages that have been sent cannot be refunded.

Nothing in this Section excludes or limits any right you have under the Consumer Protection Act, 2019 or any other applicable law that cannot be excluded or limited by contract.

5.4 Payment Processing

Payments are processed by our third-party payment aggregator, Cashfree Payments India Private Limited ("Cashfree"), and its banking partners. We do not store your full card details. By completing checkout you authorise us and our payment aggregator to charge the fees shown, plus applicable taxes, to the payment method you select.

5.5 Auto-Renewal and Recurring Payments

Where a paid plan is shown at checkout as a subscription, it renews automatically for successive periods of the same length, at the then-current price (see Section 5.7), unless you cancel before the renewal date. If you choose a recurring payment, you authorise an e-mandate or standing instruction registered with additional factor authentication as required by the Reserve Bank of India. Before each recurring debit you will receive a pre-debit notification, at least 24 hours before the debit, stating the amount and date and how to opt out of that debit or withdraw the mandate. Debits above the limit set by the Reserve Bank of India for recurring payments without fresh authentication will need your approval each time. We do not charge any fee for setting up or using auto-pay.

5.6 Cancellation

You may cancel your subscription at any time from your account settings, where that option is available, or by emailing admin@wedd.ai from your registered email address. We confirm every cancellation by email. Cancellation stops future renewals, and we will not initiate further debits under your mandate. You may also withdraw the mandate with your bank, card issuer or UPI app. Cancellation takes effect at the end of the current paid period and you keep access until then. Cancellation does not automatically entitle you to a refund of fees already paid (see Section 5.3). We do not charge a cancellation fee.

5.7 Price Changes

We may change plan prices or features. A price change never applies to a period you have already paid for. We will give you at least 30 days' notice by email or in the Platform before a price increase applies at your next renewal. If you do not agree, you may cancel before the renewal date.

5.8 Taxes

Prices are in Indian Rupees (INR). Taxes are charged as applicable by law and as displayed at checkout, and the total amount payable is shown before you confirm payment. If you are required by law to deduct tax at source, you must provide us with the relevant certificate.

5.9 Failed Payments

If a payment fails, we may retry it and will notify you. If it still cannot be collected, we may suspend paid features or move your account to a free or reduced plan. No further amount accrues for any period after that, and we will not delete your data merely because a renewal payment failed.

5.10 Chargebacks and Payment Disputes

If you think a charge is wrong, please contact us first under Section 5.3. If you raise a chargeback, we may share with the bank or payment aggregator the records needed to respond, including payment records, your acceptance of these Terms, usage logs and our correspondence. We may suspend paid features on the account while a payment dispute is open, and we may recover any amount found to be payable.

5.11 WhatsApp Message Charges

Meta charges for certain WhatsApp messages. Where your plan passes these charges on to you, whether as part of the plan fee, as a messaging allowance or as prepaid messaging credits, the applicable rates are shown in the Platform before you send. Refunds of messaging charges and prepaid messaging credits are subject to Section 5.3.

6. Acceptable Use

6.1 General Rules

You may use the Platform only for lawful purposes and in accordance with these Terms. You must not:

  • violate any applicable law or regulation, or infringe the rights of others;
  • attempt to gain unauthorised access to the Platform, other accounts or our systems, or probe, scan or test their vulnerability;
  • interfere with or disrupt the Platform or its infrastructure;
  • resell, sublicense, rent or provide the Platform to third parties as a service, other than to your own clients and collaborators as permitted by your plan;
  • scrape, crawl or harvest data from the Platform;
  • reverse engineer, decompile or attempt to derive the source code of the Platform, except to the extent permitted by law;
  • use the Platform to build a competing product or service; or
  • exceed rate limits, usage quotas or fair-use limits, or try to get around them.

6.2 Prohibited Content

You must not host, display, upload, modify, publish, transmit, store, update or share any information that:

  1. belongs to another person and to which you have no right;
  2. is obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, racially or ethnically objectionable, relating to or encouraging money laundering or gambling, or promoting enmity between groups on the grounds of religion or caste with the intent to incite violence;
  3. is harmful to children;
  4. infringes any patent, trademark, copyright or other proprietary right;
  5. deceives or misleads the recipient about the origin of the message, or knowingly and intentionally communicates misinformation or information that is patently false and untrue or misleading in nature;
  6. impersonates another person;
  7. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order; causes incitement to the commission of any cognisable offence; prevents investigation of any offence; or is insulting to another nation;
  8. contains software viruses or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
  9. is unlawful synthetically generated information, or synthetically generated information from which a label or provenance marker required by law has been removed; or
  10. violates any law for the time being in force.

6.3 Professional Use

Wedding planners and other Business Customers may use the Platform in the course of their business to serve their own clients, subject to their plan and these Terms.

6.4 Enforcement and Periodic Reminders

We may remove or disable access to any information that breaches this Section 6, and may suspend or terminate your account under Section 16, as required or permitted by law. We will remind you of these rules at least once every three months, as the law requires.

7. Guest Data and Your Content

7.1 Roles

You decide whose data to add to the Platform and why. How each party is treated under data protection law depends on who you are:

  1. Business Customers. Where you are a Business Customer, you are the Data Fiduciary (or controller) for Guest Data, and we process it on your behalf as your Data Processor (or processor) under our Data Processing Addendum, which forms part of these Terms, whichever WhatsApp number is used.
  2. Individuals. Where you are an individual planning your own or a family member's wedding, we process Guest Data as described in our Privacy Policy, only to provide the guest-management features you use.
  3. Our own purposes. Where we process Guest Data for our own purposes, such as security, fraud prevention, legal compliance or operating a WhatsApp number we provide, we do so as described in our Privacy Policy.

Guests who complete RSVP, identity or travel forms are given a link to our Privacy Policy at the point of collection.

7.2 Your Promises About Guest Data

For all Guest Data you provide, you represent, warrant and undertake that:

  1. you are entitled to provide it, and have given any notice and obtained any consent required by applicable law, so that we may process it as described in our Privacy Policy and, where it applies, the Data Processing Addendum;
  2. you have told each individual that their data will be processed through wedd.ai and that they may receive messages over WhatsApp;
  3. for any individual under 18, you have the consent of their parent or lawful guardian;
  4. you will request identity documents only where they are genuinely needed for the wedding, for example hotel check-in or travel bookings;
  5. you will promptly act on requests from individuals to access, correct or erase their data or to withdraw consent, and will tell us where our help is needed.

7.3 Identity Documents and Aadhaar

Where an Aadhaar card is used as an identity document, it should be a masked Aadhaar (with only the last four digits of the Aadhaar number visible) wherever possible, or another officially valid document should be used instead. You must not publish, display or share any Aadhaar number except as permitted by law. Identity documents must be used only for the purpose for which they were collected.

7.4 Our Right to Restrict

We may delete, restrict or refuse to process Guest Data or other content that we reasonably believe was collected, uploaded or used in breach of this Section 7 or of applicable law.

7.5 Your Content

You retain all rights in Your Content. You grant us a non-exclusive, worldwide, royalty-free licence, for as long as Your Content is stored on the Platform and for any subsequent backup retention period, to host, store, copy, format, transcode, transmit, display and otherwise process Your Content, including through our sub-processors and AI model providers, solely to provide, secure and support the Platform for you and to comply with law. We will not use Your Content for marketing or publicity without your separate express consent, which you may withdraw at any time. You are solely responsible for Your Content and confirm that you have all rights needed to upload and share it.

7.6 Galleries and Photographs

You must have the right to upload, and where required the consent of people identifiable in, any photograph or video you share, including any rights held by your photographer. Anyone with a gallery link may be able to view its contents, so you are responsible for how you share links. Individuals who appear in content may ask us to remove it through the Grievance Redressal process in Section 18. We may remove content without notice where the law requires.

8. AI Features

8.1 How AI Features Work

The Platform uses artificial intelligence, including third-party large language models, to summarise information, extract details from documents you upload (such as vendor contracts), answer questions and draft messages. To provide these features, we send the relevant parts of Your Content (such as your questions, guest-list fields and uploaded documents) to third-party AI model providers, which process it on our behalf to return a result. The AI providers we use are identified in our Privacy Policy and Data Processing Addendum.

8.2 AI Output

AI Output is generated automatically and may be inaccurate, incomplete or outdated, even when it appears confident. AI Output:

  1. is provided for convenience only and is not legal, financial, tax, religious, astrological or other professional advice;
  2. must be checked by you before you rely on it. In particular, you must confirm dates, deadlines, payment amounts, cancellation and refund terms and other obligations in vendor contracts against the original document; and
  3. must be reviewed by you before you send it to guests or vendors. You are responsible for content you choose to send or publish.

To the maximum extent permitted by law, we do not warrant the accuracy of AI Output and are not liable for decisions made, deadlines missed or messages sent in reliance on AI Output without your review.

8.3 Training

We do not use Your Content or Guest Data to train or fine-tune AI models. We may use aggregated, de-identified usage statistics that do not identify you or any individual to operate, secure and improve the Platform.

8.4 Labelling of Synthetic Content

Where required by law, AI-generated images, audio or video will be labelled as such. You must not remove or alter any such label or provenance metadata.

9. WhatsApp and Meta Services

9.1 Meta's Terms

All WhatsApp messaging on the Platform is sent only through Meta's official WhatsApp Business Platform (Cloud API), provided by Meta Platforms, Inc. and its affiliates ("Meta"), including Coexistence connected through Meta's own onboarding. If you use WhatsApp features, you must comply with Meta's applicable terms and policies, including the WhatsApp Business Messaging Policy and WhatsApp's Terms of Service.

9.2 Messaging Rules

You may send only messages relating to your wedding or event, to recipients who have agreed to receive them, using templates approved by Meta where required. You are responsible for obtaining all necessary consents (opt-ins) before messaging anyone through the Platform. You must honour opt-out requests (such as "STOP") promptly. You must not send unsolicited, unlawful or unrelated promotional messages, or messages to purchased or scraped lists.

9.3 Shared Number

You may send messages from a default WhatsApp business number provided by wedd.ai. Messages sent from a number we provide affect every user of that number. We may rate-limit, queue, review, block or refuse any message or template, and may suspend your messaging access, if we reasonably believe your use risks a drop in the number's quality rating, or a restriction or ban by Meta.

9.4 Your Own Number

If you connect your own WhatsApp Business Account or number to the Cloud API, including in Coexistence mode with the WhatsApp Business app through Meta's own onboarding flow, you accept Meta's terms for that account and remain responsible for your communications and for your compliance with applicable law and Meta's policies. Our processing of recipients' data on your behalf is governed by our Data Processing Addendum.

9.5 Meta's Control

Meta, not wedd.ai, controls account and template approval, message pricing, quality ratings, restrictions and bans. To the extent permitted by law, we are not liable for any suspension, ban, loss of chat history, or change in Meta's services, policies or charges.

9.6 Delivery

Message delivery is not guaranteed. Do not rely on WhatsApp messages alone for time-critical communications.

10. Third-Party Services and Vendors

10.1 Vendors and Third-Party Transactions

We are not a party to, agent for, or guarantor of any agreement between you and any vendor, venue, planner, hotel, travel provider or other third party, including contracts you upload for AI analysis. All such dealings, including payment, performance, cancellations, refunds, quality and safety, are solely between you and that third party. Any vendor information on the Platform is for information only, and we do not endorse or verify vendors unless we expressly say so.

10.2 Third-Party Services

The Platform depends on third-party services, including Meta and WhatsApp, payment aggregators, cloud hosting and AI model providers. To the extent permitted by law, we are not liable for their acts, omissions, outages or changes to their terms.

11. Privacy, Data Protection and Security

11.1 Privacy Policy and Data Processing Addendum

Our Privacy Policy explains how we handle personal data of account holders, website visitors and, where we act on our own account, guests and message recipients. Our Data Processing Addendum applies to Guest Data and other personal data we process on behalf of Business Customers. Both form part of these Terms.

11.2 Security

We maintain reasonable security practices and procedures appropriate to the nature of the data, as described in our Privacy Policy and Data Processing Addendum, including encryption in transit and access controls. If we become aware of a personal data breach affecting your Guest Data, we will notify you without undue delay, as set out in the Data Processing Addendum where it applies, and help you meet any notification obligations you have.

11.3 Data and Backups

We take regular backups, but no system is fail-safe. You should keep your own copies of important content, including contracts, guest lists and photographs. Our liability for loss or corruption of content is limited as set out in Section 14. Your data is also deleted automatically as described in Section 11.6.

11.4 International Users

The Platform is operated from India. Some of our service providers process data in other countries, as described in our Privacy Policy and Data Processing Addendum. If you or your guests are outside India, you are responsible for complying with any local data protection law that applies to you.

11.5 Legal Requests

We may preserve, remove or disable access to content, and may disclose information about you or your account, where required by law or by a valid order or request of a court or government authority, or where we believe in good faith that this is necessary to protect any person's rights, safety or property. Where legally permitted, we will make reasonable efforts to notify you.

11.6 Automatic Deletion of Wedding Data

All account and wedding data, including Guest Data, uploaded documents and other Your Content, is automatically and permanently deleted 2 months after the wedding date, meaning the last event date set in your account. You are responsible for exporting anything you need before then. Deleted data cannot be recovered, and to the extent permitted by law the Company is not liable for data deleted under this Section. Records that the law requires us to keep, such as payment and accounting records, are kept only for as long as the law requires.

12. Intellectual Property, Feedback and Beta Features

12.1 Our Rights

The Platform, including all software, designs, text, graphics, images, algorithms and other materials we provide (other than Your Content), is owned by the Company or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Platform for its intended purpose during your subscription. All rights not expressly granted are reserved.

12.2 Feedback

If you give us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without obligation to you. Feedback is not confidential.

12.3 Beta Features

Features labelled "beta", "preview" or "early access" are provided for evaluation. They may change or be withdrawn at any time and may be less reliable. To the maximum extent permitted by law, they are provided "as is", without warranty or service commitment.

13. Disclaimers

13.1 Disclaimer of Warranties

To the maximum extent permitted by law, the Platform, AI Output and all content are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of fitness for a particular purpose, accuracy, non-infringement, or uninterrupted, timely, secure or error-free operation. We do not warrant that messages will be delivered, that guests will respond, or that any wedding, event, vendor or venue outcome will be achieved. This does not affect any right you have under the Consumer Protection Act, 2019 that cannot be excluded by contract.

13.2 Availability and Maintenance

We do not offer a service-level commitment unless one is agreed in a signed order form. We may carry out scheduled maintenance, with notice where practicable, and emergency maintenance without notice. Downtime, outages and maintenance do not automatically entitle you to a refund or credit (see Section 5.3).

14. Limitation of Liability

14.1 Excluded Losses

To the maximum extent permitted by applicable law, the Company and its directors, employees, affiliates and licensors are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, anticipated savings or data, or for wedding, venue, vendor, travel or event costs, however arising.

14.2 Liability Cap

To the maximum extent permitted by applicable law, the Company's total aggregate liability arising out of or relating to these Terms or the Platform, whether in contract, tort (including negligence) or otherwise, will not exceed the total amount, if any, that you paid to the Company in the twelve (12) months before the event giving rise to the claim.

14.3 Exceptions

Nothing in these Terms excludes or limits: liability for fraud or wilful misconduct; any compensation or penalty imposed by a competent authority or court under applicable law; or any other liability, or any consumer right, that cannot be excluded or limited by law.

15. Indemnity

You will indemnify and hold harmless the Company, its affiliates and their directors, officers, employees and agents against all third-party claims, regulatory proceedings, losses, damages, penalties and reasonable costs (including legal fees) to the extent arising out of:

  1. Your Content or Guest Data, including any failure to give notice or obtain consent or another lawful basis;
  2. messages sent through your account or on your instructions, including from a WhatsApp number we provide;
  3. your breach of these Terms, the Data Processing Addendum, Meta's or WhatsApp's policies, or applicable law; or
  4. your infringement of any third-party right.

We will notify you promptly of any such claim and may participate in or take over its defence. You may not settle any claim that imposes an obligation on the Company without our written consent.

16. Suspension and Termination

16.1 Termination by You

You may cancel your subscription or close your account at any time as described in Section 5.6. Account closure starts the export and deletion process in Section 16.3. Closing your account does not automatically entitle you to a refund (see Section 5.3).

16.2 Suspension and Termination by Us

We may suspend or terminate your account, or any feature, immediately if:

  1. you materially breach these Terms or Meta's or WhatsApp's policies;
  2. we are required to do so by law, a court, a regulator or Meta;
  3. your use poses a security or legal risk to us, other users or a shared WhatsApp number; or
  4. fees remain unpaid after notice.

In those cases no fees are refunded. Where practicable and lawful, we will tell you the reason for a suspension and give you an opportunity to remedy it. We may also end your subscription, or discontinue the Platform or a plan, for any other reason on at least 30 days' notice. Any refund or credit in that case is at the Company's sole discretion, as set out in Section 5.3.

16.3 Effect of Termination

On termination, your right to use the Platform ends. Unless termination was for unlawful activity, you may export Your Content and Guest Data for 30 days afterwards, or until the automatic deletion date under Section 11.6 if that is earlier. After that we will delete or anonymise it in line with our Privacy Policy and Data Processing Addendum, except where retention is required by law (for example payment and accounting records). Amounts already due remain payable.

16.4 Survival

Sections 5.8 to 5.10 (taxes, failed payments and payment disputes, as to amounts already due), 7 (Guest Data and Your Content, as to promises already given), 8.2, 11.5, 12, 13, 14, 15, 16.3, 16.4, 19 and 20 survive termination.

17. Force Majeure

Neither party is liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control. These include acts of God, flood, cyclone, earthquake, fire, epidemic, war, terrorism, riots, government action or orders (including internet or telecom suspensions), failure or suspension of third-party services (including Meta and WhatsApp, cloud hosting, payment aggregators or AI model providers), power or network failures, and cyber-attacks despite reasonable safeguards. Performance is suspended for the duration of the event. If it continues for more than 60 days, either party may terminate the affected subscription. Termination for this reason does not automatically entitle you to a refund (see Section 5.3).

18. Grievance Redressal

If you have a complaint about the Platform, content on it, these Terms, a payment or refund, or the processing of your personal data, please contact our Grievance Officer:

Grievance Officer, Mrge IT Private Limited (as designated in Section 12 of our Privacy Policy)
Address: 30-15-166/2, 2nd Floor, Hirawat Complex, Dabagardens, Visakhapatnam (Urban), Visakhapatnam-530020, Andhra Pradesh, India
Email: admin@wedd.ai (subject line "Grievance")
Phone: +91 63035 68185

We will acknowledge your complaint within 24 hours and resolve it within 7 days of receipt, or within any shorter period required by applicable law. Requests to remove content that is prohibited under Section 6.2 are acted on within the time required by the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, including the shorter periods that apply to content depicting a person in an intimate or impersonating manner. If you are not satisfied with our response, you may, as applicable, appeal to the Grievance Appellate Committee under those Rules, approach the Data Protection Board of India once the relevant provisions are in force, contact the National Consumer Helpline (1915), or approach a Consumer Disputes Redressal Commission.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms, and any dispute or claim arising out of or in connection with them or the Platform (including non-contractual disputes), are governed by the laws of India.

19.2 Informal Resolution

Before starting any proceeding, a party must send written notice of the dispute to the other: to us at admin@wedd.ai with the subject line "Legal Notice", and to you at your registered email address. The parties will try to resolve the dispute in good faith for 30 days from that notice. This does not prevent a consumer from approaching a Consumer Commission at any time.

19.3 Arbitration

Any dispute not resolved within that period will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement of the parties or, failing agreement within 30 days, in accordance with Section 11 of that Act. The seat and venue of arbitration is Visakhapatnam, Andhra Pradesh. Hearings may be held by video conference. The language of the arbitration is English. The award is final and binding on the parties. Costs are as determined by the arbitrator.

19.4 Individual Basis

To the extent permitted by applicable law, any arbitration under Section 19.3 will be conducted on an individual basis, and claims of different users will not be consolidated without the consent of all parties.

19.5 Courts

Subject to Section 19.3, the courts at Visakhapatnam, Andhra Pradesh have exclusive jurisdiction, including over interim relief and any challenge to an arbitral award. Either party may seek urgent interim relief to protect its intellectual property or confidential information.

19.6 Your Rights as a Consumer

Nothing in this Section 19 limits any right you have as a "consumer" under the Consumer Protection Act, 2019 to file a complaint before a Consumer Disputes Redressal Commission or the Central Consumer Protection Authority, including where you reside or work, or any other right that cannot be waived under applicable law.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy, the Data Processing Addendum and any order form or plan description you accept (together, the "Agreement"), are the entire agreement between you and the Company about the Platform, and supersede prior discussions on that subject. In case of conflict, the order of precedence is: (i) a signed order form; (ii) the Data Processing Addendum, as to personal data processed on your behalf; (iii) these Terms; and (iv) the other policies.

20.2 Language

These Terms are written in English. If we provide a translation, the English version prevails in case of any inconsistency.

20.3 Severability

If any provision, or part of a provision, is held invalid or unenforceable, only that provision or part is severed, and the rest of the provision is enforced to the maximum extent permissible. The remaining provisions remain in full force and effect.

20.4 No Waiver

No failure or delay in exercising any right operates as a waiver, and no single or partial exercise of a right prevents its further exercise. A waiver is effective only if it is in writing.

20.5 Assignment and Subcontracting

You may not assign or transfer these Terms without our prior written consent. We may assign or novate these Terms to an affiliate or to a successor in a merger, acquisition, reorganisation or sale of all or substantially all of our assets, on notice to you, provided your rights under these Terms are not diminished. We may use subcontractors and sub-processors and remain responsible for them as set out in the Data Processing Addendum.

20.6 Notices and Electronic Communications

We may give you notices by email to your registered address, in the Platform, or by WhatsApp message. They are deemed received 24 hours after sending. Legal notices to us must be sent by email to admin@wedd.ai with the subject line "Legal Notice", with a copy by registered post or courier to our registered office, and take effect on receipt. You agree to receive communications electronically, and that electronic communications satisfy any legal requirement for writing.

20.7 Relationship of the Parties

The parties are independent contractors. Nothing in these Terms creates a partnership, agency, employment or fiduciary relationship between them.

20.8 No Third-Party Rights

These Terms confer no rights on any third party, including guests, vendors or collaborators, except permitted assigns. This does not affect rights individuals have directly under data protection law.

20.9 Interpretation

Headings are for convenience only. "Including" means "including without limitation". References to a law include that law as amended or re-enacted from time to time.

20.10 Compliance with Export and Sanctions Laws

You will not use the Platform in breach of applicable export control or sanctions laws.

21. Effective Date

These Terms apply to you from the date you first accept them. Updated versions apply from their effective date as described in Section 3. This version is effective from 16 October 2026.
